These Terms of Service ("Terms") are an agreement between you and Barry Lam, a sole proprietor doing business as WhisprIQ, based in Chino Hills, California ("WhisprIQ," "we," "us"). They govern your use of the WhisprIQ website, desktop app, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm you may bind that company. Section 13 contains a binding arbitration agreement and class action waiver.
WhisprIQ is a Windows app that captures your microphone and system audio during calls, transcribes it, and uses an AI provider (OpenAI) to show live, suggested responses and an end-of-call summary. Suggestions are optional prompts for you to consider. You decide what to say. WhisprIQ never speaks on calls or contacts anyone for you. You must be at least 18 to use the Service.
Give accurate information and keep your sign-in private. Each account is for one person unless you have a Teams plan with a seat for each agent. You are responsible for activity under your account. Tell us at admin@whispriq.com if you suspect unauthorized use.
You are solely responsible for complying with all call-recording, wiretap, eavesdropping, and privacy laws that apply to your calls, including laws in states such as California that require consent from everyone on the call. Before using WhisprIQ on a call, you must tell the other participants that the call may be recorded and transcribed and obtain any consent required. The opening script includes this disclosure; you must read it, and not remove it, on every call. If a participant does not consent, stop using WhisprIQ for that call.
You are solely responsible for your calls and for following every law, rule, and policy that applies to you, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the National Do Not Call Registry and state and internal do-not-call lists, state telemarketing and calling-hour laws, insurance, Medicare/CMS, ACA, mortgage, debt relief, solar and FTC rules, and your employer's and carriers' policies. You must not use the Service to:

Suggestions, summaries, and outcome estimates are produced by AI and may be wrong, incomplete, outdated, or unsuitable. They are not legal, financial, insurance, tax, or medical advice, and WhisprIQ is not a licensed professional. You must independently verify every product claim, rate, price, benefit, eligibility rule, and carrier or plan detail before stating it. Placeholders such as "VERIFY PLAN DETAILS" mean you must confirm the fact yourself. You use outputs at your own risk.
You keep ownership of your call content. You give us permission to process it to provide the Service and, as described in the Privacy Policy, to use call summaries and outcome data from accounts created on or after October 19, 2026 to improve the Service. Agreeing to that use is part of signup for those accounts.
The Service, software, scripts, and branding belong to WhisprIQ. We give you a limited, personal, non-transferable right to use the app while your account is in good standing. Feedback you give us may be used without obligation to you.
The Service relies on third parties such as OpenAI, Railway, and Stripe, and may connect to tools you choose, such as a CRM. We are not responsible for third-party services, and outages there may affect WhisprIQ.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR INCREASE YOUR SALES.
TO THE FULLEST EXTENT ALLOWED BY LAW, WHISPRIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, SALES, DATA, OR GOODWILL, OR FOR FINES, PENALTIES, OR CLAIMS ARISING FROM YOUR CALLS OR YOUR COMPLIANCE WITH LAW. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You will defend and hold harmless WhisprIQ from claims, fines, and costs arising from your calls, your content, your breach of these Terms, or your violation of any law, including recording-consent, privacy, TCPA, and Do Not Call laws.
Please first contact admin@whispriq.com; we will try to resolve any dispute informally within 30 days. If we cannot, any dispute arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable, rather than in court. The arbitration will take place in San Bernardino County, California, or by video. Either party may instead bring an individual claim in small claims court. You and WhisprIQ waive any right to a jury trial and to bring or join a class, collective, or representative action. You may opt out of this arbitration agreement by emailing admin@whispriq.com within 30 days of first accepting these Terms. If this section is found unenforceable, disputes will be heard only in the state or federal courts in San Bernardino County, California.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and by the Federal Arbitration Act for Section 13.
You may stop using the Service and cancel at any time. We may suspend or end your access if you break these Terms, fail to pay, or create legal risk, and we may discontinue the Service with reasonable notice. Sections 3, 5, 6, and 10 to 16 survive termination.
We may update these Terms. We will post the new version here with a new effective date and notify you of material changes by email or in the app; continuing to use the Service means you accept them. If any part is unenforceable, the rest remains in effect. These Terms and the Privacy Policy are the entire agreement between us. You may not transfer these Terms without our consent.
